These Terms of Use ("Terms") govern your access to and use of the website located at dessert.dev (the "Site") and all related services, features, and tools (collectively, the "Services") operated by Adaya AI, Inc., doing business as Dessert AI ("Dessert AI," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

Dessert AI provides an AI-powered platform that generates advertising creative — including ad images, videos, and copy — for skincare and beauty brands ("Ad Content"). Our AI assistant, Molly, analyzes your brand assets, products, and tone to produce high-performing ad creatives tailored to your brand.

3. Account Registration

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. By using the Services, you represent and warrant that you meet these requirements.

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and update your account information to keep it accurate.
  • Keep your login credentials confidential and not share them with third parties.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate your account if any information is found to be inaccurate, misleading, or in violation of these Terms.

4. Authorization to Access Your Brand Assets

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. By using the Services, you represent and warrant that you meet these requirements.

By creating an account and using our Services, you expressly authorize Dessert AI to access, collect, and analyze publicly available information related to your brand, including but not limited to:

  • Product names, descriptions, images, and pricing from your website or online store.
  • Your brand logo, color palette, fonts, and visual identity.
  • Your brand voice, tone, and messaging style as reflected in your public-facing content.
  • Social media content and publicly available advertising materials.

This authorization is necessary for Dessert AI to generate Ad Content on your behalf. You represent and warrant that you have the right to grant this authorization and that the brand assets you provide or make available do not infringe upon the intellectual property rights of any third party.

5. Intellectual Property

5.1 Our Intellectual Property
The Services, including all software, algorithms, models, designs, text, graphics, logos, and other materials (excluding User Content and Ad Content), are the property of Adaya AI, Inc. and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

5.2 Your Content
You retain ownership of all content, brand assets, and materials you provide to Dessert AI ("User Content"). By submitting User Content, you grant Dessert AI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your User Content solely for the purpose of providing and improving the Services.

5.3 AI-Generated Ad Content
Subject to your compliance with these Terms and payment of applicable fees, you own the Ad Content generated by our Services for your account. You are free to use, modify, and distribute the Ad Content for your business purposes. Dessert AI retains no ownership rights over your Ad Content once generated.

However, you acknowledge that:

  • AI-generated content may occasionally resemble content created for other users due to the nature of machine learning.
  • Dessert AI does not guarantee that Ad Content will be unique or free from similarity to other works.
  • You are solely responsible for reviewing Ad Content for accuracy, compliance with applicable advertising laws, and suitability before use.

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Generate content that is defamatory, obscene, harassing, threatening, or discriminatory.
  • Create misleading or deceptive advertisements that violate FTC guidelines or other advertising standards.
  • Infringe upon the intellectual property, privacy, or other rights of any third party.
  • Reverse engineer, decompile, or disassemble any aspect of the Services.
  • Attempt to gain unauthorized access to the Services or related systems.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Use automated means (bots, scrapers, etc.) to access the Services except through our authorized API.
  • Resell, sublicense, or provide access to the Services to third parties without our written consent.

7. API Terms

If you access the Services through our application programming interface ("API"), the following additional terms apply:

  • You must use the API in accordance with any documentation and rate limits we provide.
  • API access may be subject to separate pricing and usage limits as specified in your plan.
  • We reserve the right to throttle, restrict, or revoke API access at any time if we determine misuse or excessive usage.
  • You may not use the API to build a competing product or service.
  • All data retrieved through the API is subject to these Terms and our Privacy Policy.

8. Payments and Billing

8.1 Subscription Plans
Certain features of the Services require a paid subscription. By subscribing, you agree to pay the applicable fees as described on our pricing page. Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.

8.2 Payment Processing
Payments are processed by third-party payment processors (e.g., Stripe). By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the applicable fees. You are responsible for any taxes associated with your use of the Services.

8.3 Fee Changes
We may update our pricing from time to time. We will provide reasonable advance notice of any fee changes. Continued use of the Services after a fee change takes effect constitutes your acceptance of the new fees.

9. Refund Policy

14-Day Money-Back Guarantee. If you are not satisfied with our Services, you may request a full refund within 14 days of your initial purchase. To request a refund, contact us at the email address listed below. Refund requests made after the 14-day period will not be honored except where required by applicable law.

Renewals and subsequent billing cycles are non-refundable. You may cancel your subscription at any time; cancellation will take effect at the end of your current billing period, and you will retain access to the Services until that time.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, Dessert AI disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that:

  • The Services will be uninterrupted, error-free, or secure.
  • Ad Content will achieve any particular advertising performance or results.
  • Ad Content will comply with all applicable advertising laws and regulations in your jurisdiction — you are responsible for compliance.
  • The Services will meet your specific requirements.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADAYA AI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the total amount you have paid to Dessert AI in the six (6) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Adaya AI, Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services or any Ad Content you publish or distribute.
  • Your violation of these Terms.
  • Your violation of any applicable law or third-party right.
  • Any User Content you provide that infringes upon third-party intellectual property rights.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Services ceases immediately.
  • We may delete your account data after a reasonable retention period.
  • Sections of these Terms that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, indemnification, and dispute resolution.
  • You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.

16. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

16.2 Informal Resolution
Before initiating any legal proceeding, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days.

16.3 Arbitration
If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Delaware, and the arbitrator's decision shall be final and binding.

16.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dessert AI regarding the Services.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
  • Force Majeure. Dessert AI shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet disruptions.

  • We respect the intellectual property rights of others. If you believe that any content on our platform infringes your copyright, please send a notice to our designated agent at the contact information below, including:
  • A description of the copyrighted work you claim has been infringed.
  • The URL or location of the allegedly infringing material.
  • Your contact information (name, address, phone number, and email).
  • A statement that you have a good-faith belief that the use is not authorized.
  • A statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.
  • Your physical or electronic signature.
